Terms & Conditions of Engagement

These Terms & Conditions govern all quotations, invoices, receipts, payments, and engagements issued by or relating to Zimbabwe Business Index (“ZBI”, “we”, “our”, “us”).
By receiving, accepting, or making payment against any quotation, invoice, or receipt, the recipient (“the Client” or “Partner”) is deemed to have read, understood, and agreed to these Terms & Conditions in full.
1. Nature of Services
Zimbabwe Business Index provides business listing services, partnership opportunities, visibility placements, and related platform services. All services are provided on a subscription, partnership, or support basis as described in the applicable quotation, invoice, or communication.
2. Quotations
All quotations are valid for the period stated therein or, where no period is stated, for 14 calendar days from the date of issue.
Zimbabwe Business Index reserves the right to amend or withdraw a quotation prior to payment.
3. Payments
All payments are made in advance unless otherwise agreed in writing.
During the foundational phase of Zimbabwe Business Index, payments may be received through a designated banking account associated with the platform’s founder, strictly for Zimbabwe Business Index–related services. All such payments are fully recorded, traceable, and allocated to the corresponding service or partnership tier.
Payment shall be deemed received only once cleared funds reflect in the designated account.
4. Proof of Payment
Clients and Partners are required to submit valid proof of payment to the designated Zimbabwe Business Index email address for verification.
Submission of proof of payment does not constitute confirmation of activation until verification is completed.
5. Activation & Delivery
Service activation timelines commence only after:
- receipt of cleared payment, and
- successful verification of proof of payment.
Zimbabwe Business Index will use reasonable efforts to activate services promptly but shall not be liable for delays arising from incomplete information, third-party dependencies, or force majeure events.
6. Fees, Refunds & Cancellations
Unless explicitly stated otherwise in writing:
- All fees paid are non-refundable once a profile has been reviewed, published, or made visible on the platform.
- Refunds are only applicable if Zimbabwe Business Index is unable to publish the profile due to internal system limitations, or an error in product quantity has been noticed.
- Subscription, listing, and partnership fees are not transferable.
- Early termination by the Client does not entitle the Client to a refund for any unused period.
Zimbabwe Business Index reserves the right to suspend or terminate services for material breach of these Terms.
7. Foundational Support Recognition
Where applicable, payments or commitments made during the foundational phase may qualify the Client or Partner for Foundational Support Partner recognition.
Such recognition is discretionary, non-transferable, and subject to internal approval. Once granted, it remains part of the institutional record of Zimbabwe Business Index but does not create ownership, governance rights, or control over the platform.
8. Limitation of Liability
To the maximum extent permitted by law, Zimbabwe Business Index shall not be liable for:
- indirect, incidental, or consequential losses
- loss of profits, data, or business opportunities
- decisions made by third parties based on platform listings or content
Total liability, if any, shall not exceed the fees paid for the specific service giving rise to the claim.
9. Intellectual Property
All platform content, branding, structure, and materials remain the intellectual property of Zimbabwe Business Index.
No licence, ownership right, or intellectual property interest is transferred to the Client except as expressly stated.
10. Amendments
Zimbabwe Business Index reserves the right to amend these Terms & Conditions from time to time.
The version published on the official Zimbabwe Business Index website at the time of engagement shall apply.
11. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of Zimbabwe, without regard to conflict of law principles.
12. Acceptance
Engagement with Zimbabwe Business Index, including acceptance of quotations, payment of invoices, or receipt of services, constitutes full acceptance of these Terms & Conditions.
